Uber’s $14.8B Delivery Hero Deal Doubles Global Footprint
Uber has officially agreed to acquire Delivery Hero in a massive $14.8 billion all-stock transaction, a major strategic move announced this week that will nearly double the ride-hailing giant’s global delivery footprint across Europe, the Middle East, Latin America, and Asia.
A Strategic $1.6 Billion Side Divestment
As part of the broader restructuring, German-based Delivery Hero has concurrently secured a separate agreement to divest its operations in 14 overlapping markets. These businesses, where Uber Eats already maintains an active presence, will be sold to New York-based investment firm SSW Partners for $1.6 billion.
The Financial Hurdles and Regulatory Scrutiny Ahead
While the $14.8 billion all-stock acquisition represents a landmark consolidation, the transaction is not yet finalized. Once completed, the deal will position Uber as the operator of the world’s largest delivery platform outside of China, though it is highly likely to attract intense antitrust and regulatory scrutiny.
Key Shareholder Commitments
To close the deal, Uber—which already holds the largest individual stake in Delivery Hero—has established a minimum acceptance threshold of 50% plus one share of the target’s outstanding share capital. Major shareholder Prosus, which controls a 17% stake, has already pledged to tender its shares in support of the acquisition.
Challenging DoorDash and Just Eat Globally
Securing Delivery Hero allows Uber to effectively double its geographical reach. This massive expansion significantly strengthens its competitive positioning against key rivals like DoorDash and Just Eat Takeaway in highly contested international arenas.
Highlighting the strategic synergy of the merger, Uber CEO Dara Khosrowshahi said in a statement that the combination will nearly double the number of global markets where the company can offer integrated mobility and delivery services, scaling a proven operational model to generate substantial long-term value for both customers and shareholders.
