Coinbase Wins Big: SEC Drops Lawsuit After $50M Battle
Coinbase secured a historic legal victory on Friday as the U.S. Securities and Exchange Commission (SEC) agreed to permanently dismiss its landmark unregistered securities lawsuit against the cryptocurrency exchange with prejudice.
A Major Regulatory Shift for U.S. Crypto
The dismissal, which still requires formal approval from the SEC’s Commissioners, serves as a strong indicator that the Trump administration intends to adopt a far more collaborative approach toward the digital asset industry compared to the aggressive enforcement strategy led by former SEC Chairman Gary Gensler.
The SEC’s original lawsuit, initiated in 2023, claimed that Coinbase was operating as an unregistered national securities exchange, broker, and clearing agency, asserting that several digital assets traded on the platform qualified as investment contracts.
The $50 Million Battle to Protect the Industry
Rather than settling, Coinbase aggressively pushed back against the federal regulator, arguing that the SEC had failed to establish clear, workable rules for the crypto market before attempting to enforce compliance through litigation.
In a video shared on X, Coinbase CEO Brian Armstrong recalled the intense pressure the company faced when deciding to fight the federal agency. Armstrong noted that in 2023, numerous advisors warned against engaging in a legal battle with the SEC, cautioning that it would cost tens of millions of dollars. In the video, Armstrong also raised serious questions regarding the motivations and aggressive tactics employed by the regulatory body throughout the dispute.
Armstrong emphasized that he chose to stand his ground to defend the future of the entire U.S. crypto ecosystem. Recognizing that few Web3 firms possessed the financial resources to withstand such a prolonged legal assault, Coinbase ultimately spent $50 million defending the case—validating early warnings about the immense cost of the confrontation.

A spokesperson for Coinbase later clarified that the $50 million figure refers exclusively to external legal fees and does not account for internal employee hours dedicated to the defense.
The Push for Definitive Crypto Legislation
Despite securing this major legal win, Armstrong warned that the industry’s battle is far from over. He stressed that the United States must still pass comprehensive federal crypto legislation to officially codify clear regulations, warning that the nation risks falling behind global competitors without a formalized legal framework.
