Adobe Buys Semrush for $1.9B in Massive AI Search Bet

Adobe announced on Wednesday a definitive agreement to acquire search engine optimization leader Semrush for approximately $1.9 billion in cash, a strategic move designed to integrate generative AI search optimization tools into its digital marketing cloud.

Premium Valuation and Transaction Details

Under the terms of the agreement, Adobe said it will pay $12 per share in cash for the search marketing platform. This purchase price represents a premium of nearly 74% over Semrush’s closing price of $6.89 on Tuesday, prior to the public disclosure of the acquisition. Before the announcement, Semrush maintained a market capitalization of roughly $1 billion.

The Shift to Generative Engine Optimization (GEO)

Through this acquisition, Adobe is positioning itself for a fundamental shift in how consumers discover information online. As users increasingly bypass traditional search engines in favor of AI chatbots, autonomous agents, and AI-powered browsers for tasks ranging from research and recipe discovery to travel booking and e-commerce, businesses must adapt their content to remain visible to large language models.

This transition represents an emerging market for search marketing providers. According to Adobe Analytics data, referral traffic to retail websites originating from generative AI chatbots surged by 1,200% in October compared to the previous year, highlighting the rapid pace of change in consumer behavior.

How Semrush Targets AI-Driven Traffic

Semrush has actively expanded its capabilities to address “generative engine optimization” (GEO). The company recently introduced specialized tools designed to track, analyze, and optimize website performance across both traditional search layouts and modern AI platforms, including ChatGPT, Claude, Copilot, Grok, and Perplexity.

Unlocking New Growth Channels for Marketers

The integration of Semrush into Adobe’s Digital Experience division aims to provide enterprise customers with a unified workflow for content creation, traditional SEO, and AI-focused search visibility.

“Brand visibility is being reshaped by generative AI, and brands that don’t embrace this new opportunity risk losing relevance and revenue,” said Anil Chakravarthy, president of Adobe’s Digital Experience Business. “With Semrush, we’re unlocking GEO for marketers as a new growth channel alongside their SEO, driving more visibility, customer engagement and conversions across the ecosystem.”
