Flipkart Nears India Relocation Ahead of Historic IPO

Walmart-owned e-commerce giant Flipkart is securing final regulatory approvals to relocate its headquarters from Singapore to India by late 2024 to pave the way for a major domestic initial public offering (IPO) projected for 2026.

Regulatory Milestones and Festive Season Timeline

The redomiciling process has already secured essential in-principle approvals from a Singapore court. Concurrently, India’s National Company Law Appellate Tribunal (NCLAT) has conducted multiple hearings regarding the transition. Flipkart aims to finalize the entire corporate relocation within the next two months, strategically aligning the move with India’s high-volume festive shopping season.

Why Tech Giants Are Heading Back to India

Shifting corporate bases back to India allows high-growth companies to align seamlessly with local regulatory frameworks and satisfy strict domestic stock listing requirements. By establishing a local corporate structure, Flipkart is positioned to tap into India’s rapidly expanding retail investor base and robust capital markets, which currently offer highly attractive valuations compared to overseas alternatives.

A Coordinated Dual-Country Process

The board of directors greenlit the relocation strategy in April. Following this decision, Flipkart initiated simultaneous legal and regulatory proceedings in both India and Singapore to expedite the transition.

A Growing Trend of Domestic Redomiciling

Flipkart is not alone in this migration. In late 2022, fintech leader PhonePe separated from Flipkart and relocated its headquarters from Singapore to India. PhonePe recently filed confidential IPO draft papers with the Securities and Exchange Board of India (SEBI), reportedly aiming to raise ₹120 billion (approximately $1.35 billion) through its public debut.

Other prominent startups, including quick-commerce platform Zepto and investment platform Groww, have also shifted their parent entities to India. Groww is expected to become the first major venture-backed startup to list on domestic exchanges after migrating its holding company from the United States.

Market Valuation and Financial Backing

This corporate migration follows a significant capital injection for Flipkart, which secured $350 million from Google as part of a larger $1 billion funding round initiated in 2023. Valued at $36 billion in its latest funding round, Flipkart represents the largest and most valuable startup to undergo a redomiciling process to India.

Flipkart has declined to comment on the ongoing regulatory proceedings.
